Announcement for important business developments

“INTRAKAT SOCIETE ANONYME TECHNICAL AND ENERGY PROJECTS”, trade name “INTRAKAT”, hereafter “the Company”, informs the investment community, according to the Regulations (EU) 596/2014 of the European Parliament, the European Council and of Athens Exchange, for the following:

Pursuant to the relevant announcement of the Company dated March 24, 2023, a binding sales and purchase agreement was signed on March 30, 2023, between the Company and the companies “ELLAKTOR S.A.” and “AKTOR CONCESSIONS S.A.” (hereafter “the Sellers”) for the acquisition of 100% of the share capital of the company AKTOR S.A. (hereafter “AKTOR”).

The completion of the transaction is subject to the usual conditions for such transactions, including the approvals of the Hellenic Competition Commission and the general meetings of the shareholders of the Sellers, and it is expected to be concluded within the 4th quarter of this year at the latest.

The consideration that the Company will pay to the Sellers reaches the amount of €100 million and will be fully paid upon the completion of the transaction, while the amount of €114 million which refers to intra-group liabilities of AKTOR to the companies of ELLAKTOR Group will be repaid gradually with the Guarantee of the Company, within 19 months from the transaction’s completion.

The above transaction is part of the Company’s current strategy, which has been made widely known to the investment community via the Company’s prospectus, during the recently implemented share capital increase, and targets mainly at the enhancement and fortification of the Company’s and the Group’s construction activity, making INTRAKAT Group, after the completion of the transaction, one of the largest infrastructure groups in the country.
